Territory Designation Policy


Purpose

This policy explains how Equip Payment Solutions designates and manages geographical sales territories for Referrers. Territory designations help coordinate our growing sales force, minimize conflicts between Referrers, ensure strong market coverage, and reward consistent producers.


Designated Territories

Equip may designate specific geographical areas to individual Referrers. Where an area has been designated to a Referrer, other Referrers are expected to operate within their own designated areas and to refrain from actively selling within another Referrer’s designated territory.

Equip maintains a territory map identifying current designations, which is made available to Referrers and updated from time to time. Only territories that are formally designated and documented on the territory map are subject to this policy.

Open Areas

Any geographical area that has not been specifically designated to another Referrer remains open. Referrers are free to sell in any open area. Territory designations are non-exclusive and do not guarantee any Referrer a permanent or protected right to any area.


Production Requirement to Maintain a Designated Territory

To retain a designated territory, a Referrer must close at least five (5) qualifying deals per calendar quarter. For purposes of this policy, a “qualifying deal” means a closed, approved, and installed merchant with estimated monthly processing volume of at least twenty thousand dollars ($20,000) at the time of boarding. A Referrer who does not meet this production threshold may have their designated territory reduced, reassigned, or opened to other Referrers at Equip’s discretion.

This production requirement applies to all Referrers regardless of which agreement version they operate under.


Equip Discretion

Territory designations, boundaries, reductions, and reassignments are determined by Equip in its sole discretion based on production levels, business needs, market coverage, and other factors. Equip reserves the right to modify territory designations and this policy at any time, with notice provided to affected Referrers in accordance with the Master Policy Governance framework.
